Justdiggit Foundation invites eligible service providers to submit quotations for a Public Benefit Organization (PBO) registration support organization / individual consultant to facilitate JDI’s compliance with all PBO legal and regulatory requirements with the relevant authorities.

Terms of Reference (ToR) Public Benefit Organization (PBO) registration, organization / individual consultant

1. Background of the Public Benefit Organization (PBO) registration

Justdiggit Foundation would like to register as a PBO in Kenya to support its impact projects in Kenya. The purpose of this consultancy is to support and guide JDI through the process of registration as a PBO. This includes reviewing organizational documents, ensuring compliance with applicable legal frameworks, preparing the required documentation, and submitting a successful application to the appropriate regulatory authority. This ToR defines the scope and deliverables of the task.

2. Scope of the assignment
The consultant will be responsible for:
a) Reviewing the organization’s constitution, governance documents, and activities to assess eligibility for PBO registration.
b) Advising and working on necessary amendments to organizational documents and governance structure to meet PBO requirements.
c) Preparing and compiling all required documentation for the application.
d) Liaising with the relevant registration authority and JDI partners (e.g., PBO Authority, KRA Tax advisors, PBO working group, etc.)
e) Applying and following up until the registration is finalized.
f) Guiding post-registration compliance requirements.

3. Key deliverables
a) Inception report detailing the work plan and timeline.
b) Reviewed and updated organizational documents (e.g., constitution, policies).
c) Completed and submitted PBO registration application.
d) Bi-weekly progress updates.
e) Final report summarizing the process, outcomes, and recommendations for compliance and governance post-registration.
The consultant will report to the PBO task lead at JDI with access and support from a dedicated PBO working group.

4. Required expertise and skills
The consultant (organization/individual) should demonstrate the following expertise.
a) Currently registered by the Kenya Law Society of Kenya or a certified public administrator.
b) Proven experience in governance and PBO/NGO registration processes in Kenya.
c) Demonstrated ability to deliver high-quality work within a set deadline.
d) Familiarity with applicable laws, regulations, and compliance requirements.
e) Excellent written and verbal communication skills.

5. Quotation requirements
a) A proposal outlining approach, methodology, and timeline.
b) Updated individual CV demonstrating relevant experience.
c) Evidence of at least two successful NGO/PBO registrations in Kenya.
d) Contact information for two professional references.
e) Milestone-based financial proposal
