Background
StrongMinds is a growing international non-profit organization focused on improving the mental health of women and adolescents in Africa and beyond. Since its founding in 2013, StrongMinds has treated over one million individuals through group interpersonal therapy and community-based mental health interventions. With operational hubs in Uganda, Zambia, and the US, and a soon-expanding footprint in Africa, StrongMinds is pursuing an ambitious Vision 2035, aiming to reach 100 million people with mental health care.As part of its expansion strategy StrongMinds Inc. intends to engage a qualified entity in Kenya to provide advisory and implementation support for the establishment, registration, and operationalization of the most appropriate legal entity aligned with its mission and compliance requirements.

Objective:
• Advise StrongMinds Inc. on the most appropriate legal structure in Kenya, (such as a Company limited by guarantee, Trust or a Public benefit act) or any other form of entity that will align with StrongMinds Mission
• Support the full legal setup and registration of StrongMinds Kenya in compliance with Kenyan laws and regulations.

Scope of Work:
Pre-Registration
• Review Strong Minds Inc.’s mission, operational model, and funding structure and provide a comparative analysis of available legal entity options in Kenya.
• Meet with Strong minds Inc Leadership team and provide guidance on the most appropriate legal structure with clear justifications
• Conduct name search and reserve the name with the relevant government body

Documentation Preparation:
• Draft the constitution documents/by-laws e.g. Memorandum and Articles of Association conforming to Kenyan law, signed by directors.
• Advise on board structure and governance requirements
• Prepare minutes of the meeting resolving to register in Kenya.
• Obtain certified copies of foreign incorporation documents (Certificate of Incorporation, Memorandum of Association).
• Prepare bio-data for all board members in line with the requirements of the proposed registration body in Kenya
• Supporting all proposed board members obtain police clearance in Kenya
• Notarizing of for foreigners’ documentation and passport photos.
• Appoint a Kenyan citizen as an authorized agent.

Application Submission
• Submit all the necessary documentation to the relevant authorities and continuously follow-up to ensure the process is not stalled

Post-Registration Compliance:
• Assist in obtaining the Certificate of Registration and initial tax compliance including Registering StrongMinds with all other relevant statutory bodies such as SHIF, NSSF, NITA and business and fire licences,
Key Deliverables:
• Reserved Name Certificate.
• Governance and constitutional documents (stamped).
• Certificate of Registration for Strong Minds Kenya
• Statutory Registration documents of Strong minds Kenya with KRA, SHIF, NSSF and NITA
• Business and fire licences permits
• Compliance checklist and operational guidance memo

Timeline: Approximately 1-3 months (subject to authority processing times).

• Technical proposal detailing approach and methodology
• Relevant experience and references
• Proposed timeline
• Financial proposal (clearly itemized)
• CVs /Biodata of key personnel

Evaluation Criteria
In evaluating proposals, StrongMinds will seek the best value for money considering the merits of the technical and costs proposals. Proposals will be evaluated using the following criteria:

Evaluation Criteria (Total Score out of 100)
1) Qualification of Service provider

  • Company profile-Describing nature of business and field of expertise (15 mks)
  • Demonstrate experience in PBO act (10 mks)
  • Relevant Business Licences

    2) Proposed Methodology and Approach
    • Past Experience -Experience in registering similar Ingo’s in Kenya (provide at least 4 references) (15 mks)
    • Qualification and Team Competencies (15 mks)
    • Proposed Methodology and approach and ability to complete the assignment within allocated time (provide detailed timeline and workplan (25 mks)

3) Appropriate budget
• Demonstrating appropriate allocation of labour days in relation to tasks and deliverables; appropriate consultant daily rates in relation to qualifications; appropriate other direct costs in relation to the scope of work and overall cost effectiveness. The costing should include all applicable taxes as well as proposed registration fees payable to government entities. (20 mks)
