Background:
Justdiggit Foundation is a non-profit organisation on a mission to inspire millions of farmers and pastoralists to take action to regreen degraded landscapes in Africa. To reach our goal and regreen degraded African landscapes, we focus on combining our core nature-based landscape restoration techniques with the power of media and communication, data, and mobile technology to spread our regreening message and scale up our practices through strategic partnerships. https://justdiggit.org/

Justdiggit Foundation invites qualified legal service providers to submit proposals for ad-hoc legal services as prescribed below:

Purpose of RFP
The purpose of this RFP is to solicit proposals from eligible and experienced legal service providers to provide legal advisory, regulatory compliance, contract management, governance, and litigation support on needs basis or as required.
Scope of work
1. Contract Advisory/Management
•Draft, review, and negotiate a wide range of complex contracts, employment contracts, MOUs, partnership agreements, grant /donor and procurement agreements.
•Ensure legal instruments protect the interests of Justdiggit.

2. Legal Advisory
•Provide legal guidance and interpretation on corporate, employment, tax, intellectual property, data protection, and PBO compliance matters.
•Advice on country-specific regulatory issues across Justdiggit’s regional operations.
•Advisory on complex contractual matters.

3. Employment and labour matters
•Provide legal expertise in labour, employment, immigration, and cross-border employment matters, with sound knowledge of Kenyan and Tanzanian legislation and ILO standards.
•Provide guidance on workplace investigations, disciplinary and grievance processes, litigation and representation before labour tribunals and courts, as well as international secondments and staff assignments.

4. Risk Management
•Conduct due diligence on partners, service providers, or agreements when required.
•Identify emerging legal risks and provide mitigation strategies. 5. Document Commissioning/ Notarization/ Witnessing

Deliverables
•Written legal opinions, memoranda, and advisory notes.
•Drafted, reviewed, and negotiated legal documents and contracts.
•Litigation and case management reports, including updates on ongoing matters.
•Legal and regulatory compliance checklists, assessments, and recommendations.
•Monthly and/or quarterly legal and compliance status reports, where applicable

Proposal Requirements
Bidders must submit a complete proposal including the following:

a) Company Profile / Firm Background
•Name, address, website, and contact information.
•Year of registration and legal status.
•Summary of areas of specialisation.

b) Relevant Experience
•Evidence of at least 3 years of experience providing legal services to NGOs, non-profits, or international organisations.
•Description of similar assignments undertaken in the past 3–5 years.
•Experience working with an organisation in both developed and developing countries.
•Client references (at least 3).

c) Technical Proposal
•Understanding of the assignment.
•Proposed methodology for delivering legal services.
•Team structure and CVs of key staff.
•Availability and turnaround times.

d) Financial Proposal
•Proposed fees for ad hoc work
•Hourly or daily rates for additional services.
•Litigation fee structure.
•Any reimbursable costs.

e) Compliance Documents
•Certificate of registration/incorporation.
•Valid practicing license(s).
•Professional indemnity insurance.
•Tax compliance certificate
•Certificate of Good Standing

Duration of Contract
Rolling contract, renewable subject to performance and funding.
